Terms of Service

To use the Service, you must create an account with a valid email address. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and confidential
• Notify us immediately if you suspect unauthorized access to your account
• Accept responsibility for all activity under your account

You may invite other users to your organization. Each user must have their own account.

You own your data. All financial data, forecasts, assumptions, schedules, and other content you create or import into ClearBox FPA remains your property.

By using the Service, you grant us a limited license to host, store, and process your data solely for the purpose of providing the Service to you. This license ends when you delete your data or close your account.

You may export your data or delete your account at any time. See our Privacy Policy for details on data handling and deletion.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Access another user's account without authorization
• Use the Service to store or transmit malicious code
• Resell or redistribute the Service without our written consent
• Use any AI-powered feature in violation of applicable law, these Terms, or the rules and usage policies of any third-party AI provider that supports the Service
• Use automated, abusive, misleading, or excessive requests to AI-powered features, including attempts to bypass safeguards, access controls, or usage limits
• Upload, submit, or transmit protected health information ("PHI") or other information regulated by HIPAA or similar medical privacy laws through the Service

Certain features may rely on third-party generative AI services. You are responsible for reviewing AI-generated output before relying on it and for ensuring your use of those features complies with applicable law, professional obligations, and these Terms.

ClearBox FPA is not intended for the creation, receipt, maintenance, or transmission of PHI. We do not offer the Service as a HIPAA-compliant service, and we do not enter into business associate agreements for this Service.

The Service works with third-party services, including Intuit QuickBooks Online, and may use third-party providers to power certain features, including AI-related features. When you use a third-party integration or feature:

• Your use of that third-party service may also be subject to its own terms and privacy policy
• We are not responsible for the availability, accuracy, or reliability of third-party services
• You authorize us to access, send, receive, and process data with those providers as needed to provide the feature, as described during setup or use

If a third-party integration includes a disconnect option, you can disconnect it within the application. Some third-party-supported features are built into the Service and are not separately disconnectable.

CB Software LLC provides financial planning tools, not financial advice.

Forecasts, projections, and reports generated by the Service are estimates based on the assumptions and data you provide. They are not guarantees of future financial performance. You are solely responsible for your financial decisions.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law:

• CB Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from your use of the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim
• We are not liable for any loss or damage resulting from your reliance on forecasts or reports generated by the Service

By you: You may close your account at any time. Upon closure, your data will be deleted in accordance with our Privacy Policy.

By us: We may suspend or terminate your access if you violate these Terms. Where possible, we will provide notice and an opportunity to remedy the violation before termination. In cases of severe violations, we may terminate immediately.

Upon termination, your right to use the Service ceases. Sections regarding Your Data, Disclaimer, Limitation of Liability, and Governing Law survive termination.
